Minutes of a Regular Meeting of the Board of Directors

July 24, 2018

A regular meeting of the Python Software Foundation ("PSF") Board of Directors was held over Group Conference Call via phone and Internet Relay Chat/Slack beginning at 13:00 UTC (GMT/Zulu), on July 24, 2018.

All votes are reported in the form "Y-N-A" (in favor-Y‚opposed-N‚abstentions-A; e.g. "5-1-2" means "5 in favor, 1 opposed, and 2 abstentions").

1   Attendance

The following members of the Board of Directors (12 of 13) were present at the meeting: Lorena Mesa, Naomi Ceder, Christopher Neugebauer, Thomas Wouters, Katie McLaughlin, Eric Holscher, Jeff Triplett, Jackie Kazil, Ewa Jodlowska, and Van Lindberg. Anna Ossowski was represented by proxy.

Kurt Kaiser (Treasurer), Betsy Waliszewski (Event Planner and Administrator), Phyllis Dobbs (Controller/Assistant Treasurer Accountant), and Ernest W. Durbin III (Director of Infrastructure) were also in attendance.

4   Board and Staff Reports

4.1   Ewa Jodlowska

  • PyCon
    • Ordered supplies and ribbons
    • Reviewed final temp staff order (directionals)
    • Worked through registration waitlist many times
    • Worked on final logistical planning with convention center floor plans, wifi and electrical
    • Prepared onsite documentation for temp onsite meeting planner
    • Informed all hired vendors about PyCon’s code of conduct and expectations
    • Continued to update the 2018 budget with actuals based on sponsorship and registration totals
    • Continued to update data in mobile guide & maps
    • Continued to create agendas for bi-weekly calls with Chair and Event Coordinator
    • Continued to help answer PyCon Registration and PyCon Financial Aid emails
    • Continue to have regular communication with Conference Chair on Slack and calls
    • Continued to check registration reports and Twitter activity
    • Continued to receive invoices, documenting them in the budget, and sending to Treasurer for payment
    • Managed PyCon onsite for 11.5 days
    • Reviewed conferences survey results and tutorial survey results
    • Reviewed and wrapped up all outstanding invoices/payments for PyCon - only commission from Marriott is outstanding (and a couple of sponsors)
    • Worked with convention center to get the 2019 space updated to reflect what we had in 2018, updated our internal spreadsheet
    • Created a template outline for 2019
    • Attended three planning meetings for 2019 with Event Coordinator and Conference Chair
  • PSF
    • Monthly meetings with board Chairperson
    • Helped run the PSF 2018/19 board elections and communication around it
    • Continuing to work with East Africa Python Ambassador, researched PyConZA and possibility of Ambassador attending
    • Followed packaging-wg votes and MOSS grant work
    • Prepared for and staffed the PSF booth at a local Chicagoland high school STEAM night
    • Created payment tracking sheets for all new bloggers
    • Created and shared PSF’s financial executive summary with voting members for the first time
    • Organized onsite face to face board meeting & dinner, attended both
    • Organized and attended Executive Committee meeting at PyCon
    • Presented at PyCon about the PSF
    • Presented at PyCon about the Python Dev Survey
    • Held a PSF staff meeting and PyCon
    • Managed an employee transition for the PSF’s IT role
    • Ran on-boarding session for the new IT Director
    • Helped handle PyCon code of conduct communication for an incident that came to the PSF’s attention after PyCon
    • Created compensation forecasting through 2019 and reviewed with Executive Committee
    • Hosted two on-boarding meetings for new directors
    • Working with the Grants WG on new policy suggestions
    • Discovered that CiviCRM records were overriding one another and found all of the known Fellows that were overridden, worked with Treasurer on this and Infrastructure Director stopped it from happening in the future.
    • Completed employee evaluations
    • Started succession planning work
    • Created job description for Event Manager and updated board private
    • Booked a hotel block for Core Dev meeting in September 2018
    • Worked with Controller to create job description for Bookkeeper
    • Starting to plan November’s F2F board meeting
    • Continue to assist General Counsel with TMs and legal emails
    • Continue to help review documents and other drafts written by staff
    • Continue to log the fellow member nominations; ran Q2 vote, wrote and published blog for Q2 members
    • Continue to manage the Grants WG and PSF board grants and the research necessary for all
    • Continue to answer general PSF email

4.2   Betsy Waliszewski

  • PSF
    • Sent out PSF statements
    • Tested our new PayPal Here payment system at O’Reilly’s OSCON in Portland, where we had a booth in the Open Source Pavillion. Event report will be posted on the board wiki (Community Conference Reports).
    • Continued to help manage the Jobs, Marketing, and Sponsor working groups.
    • Continued routine tasks of invoicing, sending out statements, and keeping records up-to-date.
    • Continued to support the grants WG by sending out notifications and minuting resolutions.
    • Continued taking notes at board meetings, posting minutes and approved resolutions, notifying grant recipients, as well as recording contributor forms and self-certification.
    • Had multiple calls with potential PSF sponsors.
    • Managed new sponsor applications with the work group - continuing to refine our guidelines for approval and notification.
    • Continued to work on and fulfill In-Kind sponsorship agreements
    • Continuing to work on workflow document for sponsorship outreach
    • Continuing to manage social media presence through Sprout Social
    • Fundraising - created email campaign targeting supporting members asking them to renew. 15 renewals so far.
    • Managed the Grants WG resolutions while Ewa was on vacation
    • Continued to manage @ThePSF social media presence
  • PyCon 2019
    • Managed PyCon 2018 expo hall, sponsors, staff room, and sprints food and beverage onsite
    • Sent out PyCon statements
    • Compiled notes from 2018 on F&B improvements for 2019
    • Updated expo hall floor plan
    • Sent out participation survey to PyCon 2018 sponsors
    • Continuing to update and refine PyCon 2019 prospectus
    • Created launch day email campaign
    • Worked on sponsor pages for 2019 launch

4.3   Ernest W. Durbin III

  • Infrastructure maintenance and updates
    • updates, documentation, and consolidation
  • bugs.python.org project
    • Assess existing work and existing service
    • Collect feedback and notes from CPython Core Devs, bugs.python.org maintainers.
    • Contact owners of other hosted trackers (bugs.jython.org, issues.roundup-tracker.org)
    • Working to schedule migration to new infra August 11/12 2018 (after EuroPython Sprints, ahead of Core Developer Sprints)

    • Basic overview of services and workflows.
    • Started some documentation on infrastructure concerns.

    • Some tuning necessary due to traffic burst from Guido's "transfer of power" email
  • us.pycon.org
    • Begin work to bring site up for 2019
    • Moved to Heroku to reduce our footprint in Rackspace ahead of March 2019
  • OTF Grant
    • Worked with Packaging Working Group to address questions from OTF
    • Wrote and submitted our response, awaiting more information
  • wiki.python.org
    • Began collecting basic usage pattern information based on logs and edits
    • Some minor tuning to attempt to improve performance/stability
    • Long term: hope to collect community feedback to see what the "next generation" of wiki should look like.

4.4   Kurt Kaiser

  • Continued the diverse, but routine, activities needed to process incoming and outgoing financial transactions (checks, wires, PayPal, ACH, charges) for the PSF and PyCon, working with payees to get their wire or credit card details as needed. (All grant transactions are handled by the Controller.)
  • Paid bills. Made bank deposits. Created Quickbooks Online (QBO) transactions for all of these. Updated the PyCon Tutorial/FA, PyCon Ledger, PyCon Sponsor, and PSF Sponsor status tracking spreadsheets as needed to reflect activity. Matched, reconciled and reviewed the PSF bank/credit accounts and transferred funds between accounts as needed. Processed the donations and acknowledgments for our thirteen fiscal sponsorees. Reimbursed fiscal sponsoree expense. Reviewed open invoice status and designated those needing statements to be sent. Incorporated compensation and withholding changes into Zenefits and Paychex. Processed the biweekly payroll. Updated payroll related transactions in QBO. General review of QBO transactions and financial status.
  • Administered psfmember.org. Made routine upgrades to the operating system, Drupal, and CiviCRM as required. Monitored backup status and the overall operation of the site and the associated donation acknowledgement system. Updated the donation acknowledgement system code to reflect changes in sponsorees or changes in the PayPal notification emails. Transferred donated funds to the Boston Python PEX card.
  • Attended Board meetings. Approved grant wires (we use dual approval) and handled communication with the Controller relative to ongoing wire payments.
  • Worked with the Controller to set up PayPal Here for collecting on site donations. Did some related end to end testing and updated the acknowledgement system code. Analyzed and corrected issues related to inadequate PayPal notification email for PayPal Here. Handled PayPal disputed charges. Processed PyCon staff gifts and associated Federal withholding. Supported the Controller's response to a Worker's Compensation audit.

4.5   Phyllis Dobbs

  • Banking & Credit Cards
    • Research options for point-of-sale transactions such as donations at conferences, discuss with staff. Institute PayPal Here chip/swipe/tap reader and test integration with automated donation acknowledgements.
    • Manage PEX cards for Python Ambassadors and work with staff on moving from Google doc reports for credit card activity to uploading receipts/descriptions in PEX system.
    • Research limits on PayPal funds sent to various countries in preparation for PyCon 19.
    • Begin Finance/Investment Committee policy draft
    • Reconcile PEX accounts February - June 2018
  • Board
    • Re-review conflict of interest policy in light of affiliations disclosures by new BOD, research financial disclosure, and discuss updates with Ewa.
  • Contributions
    • Record donations and fees on an ad hoc basis.
  • Fiscal Sponsorship
    • Discuss potential fiscal sponsorship of PyHawaii and PyCascades with organizers and staff.
    • Create conference budget template and share with staff for comment (will be shared with fiscal sponsorees).
    • Analyze historic restricted donations and reconcile with Kurt.
  • Human Resources & Benefits
    • Review vision, health and dental renewal rates/plans and enroll for 2018-2019 year; update accounting system.
    • Enroll two employees in insurance plans.
  • PyCon 2018 Travel Grants/Financial Aid/Tutorial Payments
    • Create consolidated financial aid/travel grant tracking sheet. Review receipts, record invoices prior to disbursement sessions to reduce waiting time, and issue FA payments to recipients. Follow-up discussions re: improvements for PyCon 19.
    • Manage collecting payment preference and process for PyCon instructorss.
  • Insurance
    • Create event insurance data request Google doc and share with fiscal sponsorees.
    • Select Philadelphia as new D&O insurance carrier to save $100 per year and improve responsiveness of agent. Investigating umbrella insurance and cost of moving from $1M to to $2M of D&O coverage in relation to the PSF's growth.
    • Begin worker's compensation insurance annual audit.
  • Accounts Receivable
    • Reconcile PayPal account for April-June 2018.
  • Accounts Payable
    • Start Warehouse Direct (office supplies) account application and request vendor references.
    • Set up Airbnb for Work to reduce payment management for staff (may add Board members in future).
    • Record and initiate payment for grants, meetup reimbursements, and Community Service Awards via wire, check, and PayPal on an ad hoc basis.

4.6   Naomi Ceder

Presided over April and May board meetings & executive session; created annual evaluation/compensation recommendations for Director of Operations with board input; reviewed evaluation/compensation with Director of Operations; monthly stand-ups with Director of Operations; attended PyLondinium (helped organized Trans*Code event, spoke at PyLadies workshop, gave keynote, discussed PSF membership with several attendees); wrote blog post on PyLondinium, which raised $14,000 as donation to PSF; gave interview on Bloomberg and their support of PSF and PyLondinium; wrote up/submitted org report on PyCon Charlas; active in PSF mailing list discussions; coordinated with organizers and Betsy on PSF presence at Europython.

4.7   Van Lindberg

4.8   Anna Ossowski

Anna Ossowski participated in a PSF onboarding call for new board members, got herself acquainted with new board procedures, updated the PSF wiki with new Community Service award nominations, applied for membership to the Code of Conduct workgroup, started offering PSF office hours, and helped spread the word about the PSF at OSCON.

4.9   Christopher Neugebauer

Onboarding and getting familiar with board processes; continued on the Grants WG; attended OSCON and helped Betsy with the PSF Booth for a few hours.

4.10   Jackie Kazil

  • Led Pyladies Auction which raised more than $26k.
  • Led Python Educators open space at PyCon to understand how the PSF can help educators.
  • Acted as incident responder at PyCon + took CoC training in preparation for it.
  • Manned PSF booths part-time at PyCon and at OSCON
  • Code of Conduct WG: Worked to onboard new Chair - Philip James and participated in discussions of what is the Conduct WG.
  • Wrote/Published blog post on PyCaribbean - https://pyfound.blogspot.com/2018/05/pycaribbean-2018.html
  • Participated in discussions of Guido van Rossum's announcement.

4.11   Eric Holscher

Attending EuroPython. Staffing the PSF booth and PSF session, and talking to lots of Python users about the PSF.

4.12   Jeff Triplett

Attended two onboarding sessions (with Ewa, Naomi, Katie, and Chris), getting up to speed with board duties, participated via our mailing lists, submitted a few issues for discussion, participated in the Conduct WG discussions, made a few suggestions following Guido van Rossum's announcement, helped organize DjangoCon US, working with DEFNA on some new initiatives, and helped promote/watch Mariatta's CPython weekly office hours. I also listened to feedback and suggestions from community members regarding our CoC, transparency, and sustainability who reached out to me over the last month.

4.13   Kushal Das

4.14   Lorena Mesa

Attended April board meeting and the May board meeting at PyCon. Assisted in outreach for PyCon Board of Director elections including outreach for new board members and participated in the 24 hour temporary Slack/online Q&A for election. Continued to participate in Grants Work Group and the Code of Conduct Work Group. Oversaw PSF blog including editing of content. Outside core Director duties helped promote and develop a speaker training program for PyOhio targeting new/under represented speakers, consulted with Chicago Python User Group on their development of a new Code of Conduct.

4.15   Katie McLaughlin

Attended 2 x PSF Onboarding calls + documents/admin for onboarding. Ongoing organisation of upcoming PyCon AU 2018 and planning for PyCon AU 2019 (Site Chair/Conference Director)

4.16   Thomas Wouters

Attended the April and May board meetings & executive session. Continued administering #python on Freenode and following along with the Infrastructure/Packaging WGs PyPI developments. Participated (as non-voting member) in the Code of Conduct WG. Participated in discussions following Guido van Rossum's announcement of his resignation as BDFL, with Board members, core developers and others.

4.17   Marlene Mhangami

Assisted and recommended the addition of Ghanaian community organizer to the grants Work Group. Prepared for talk at upcoming Pycon Ghana, will represent the PSF there. Was active on board mailing list and continued to chair PyCon Africa meetings.

5   Work Group Reports

5.1   Marketing

Organized and held a meeting to discuss new initiatives to get the group moving again. Added 2 new members. New sticker created (entwined snakes).

5.2   Sponsors

Added a new member; worked on new initiatives to increase sponsorship; created an email campaign to send to companies who have jobs listed on the jobs board; updated sponsor WG page (new sponsors and sponsors denied added); updated PSF Sponsor Prospectus for 2019-20; updated in-kind spreadsheet; worked with WG to create a sponsor survey.

5.3   Jobs

Transitioned volunteer jobs team into a working group. Added new members. Created and voted on the charter.
